This presentation will focus on current topics of a legal and practical nature that are of concern and interest to Ohio school district CFOs, including any relevant changes in the Ohio Revised Code and/or State policies, opinions rendered by Ohio courts and/or the Ohio Attorney General, and initiatives of the federal government (including tax reform). It is important for school district CFOs to remain current on a wide variety of matters that routinely cross their desks, as well as those matters that are episodic or in some cases unexpected – from financing permanent improvements, to raising new revenue at the ballot box, to managing the use and disposition of public assets, to complying with federal tax and disclosure covenants, to leasing property, etc. This presentation, from the perspective of a lawyer/former school board member, will focus on the legal and practical aspects of matters such as these.
The course will enhance the attendees’ understanding of the law that is integral to their duties, not just to protect school districts from pitfalls and liability, but also to enhance service to taxpayers through an understanding of legal options and opportunities.

Richard D. Manoloff is experienced as bond counsel in general obligation and special obligation bond financings and as general counsel for Ohio political subdivisions, particularly school districts.
His representation includes counseling public sector clients regarding financings, public records, open meetings, real estate, construction, elections and tax levies. He is frequently invited to make public presentations on these topics. As a co-author, Mr. Manoloff has contributed to Thomson/West’s Ohio School Law.

With more than 20 years’ experience, Mike’s practice emphasizes acting as bond and disclosure counsel in public finance transactions for counties, cities, villages, school districts, townships, libraries and other political subdivisions. He also regularly serves as counsel to underwriters and direct purchasers in such transactions. Mike’s practice also includes providing advice and counsel to political subdivisions in a variety of areas such as school law, contracting, election, ethics, sunshine law, special assessment, income tax, intergovernmental cooperation and agreement, municipal charter and other matters. He has significant experience in drafting State legislation on behalf of clients. Mike is a frequent presenter, both in person and by webinar, on these and other topics and is a co-author of Thomson Reuters’ Ohio School Law.
Prior to finding his true calling as a bond lawyer, Mike worked as an accountant and, in 1989, passed the Uniform Certified Public Accountant Examination.

This session will meet Ohio Treasurer's office continuing education in Budgeting, Internal Controls and Cash Flow Management.

Chris McCloskey is chair of Bricker & Eckler's Public Sector industry group and is a partner in the
Construction Law group. He focuses his practice on construction-related contracting and disputes,
as well as general business and litigation. He is experienced in researching and drafting motions for
construction lawsuits, reviewing construction contracts, construction claims, change orders, purchase
orders, project analysis, mechanic's liens, bid strategy and project coordination. Chris is a former
staff attorney to Judge Nodine Miller of the Franklin County Court of Common Pleas, where he
d rafted legal opinions and managed the court's civil docket. In addition, he worked as a district
engineer for Economy Forms Company, designing steel systems to form concrete structures.
This lively session will help public officials and employees in understanding how to identify and avoid acting on potential conflicts of interest. It will also provide information regarding ethics prohibitions related to public contracts and potential post-employment requirements. Attendees will also learn about general assistance available from the Ohio Ethics Commission to assist both the public and public sectors in understanding an complying with the Ethics Laws.

This class will assist public treasurers and school business officials to expand their knowledge of the relationship between their public agencies and the Ethics Commission. It will help them understand the conflict of interest restrictions imposed upon public officials and employees as well as private parties, such as vendors, who interact with their agency. This session will also focus on helping attendees understand the definition of public contracts under the Ohio Ethics Law and will outline the ethics prohibitions related to public contracts. Those attending this course will be able to dialogue directly with the Ohio Ethics Commission regarding the Ohio Ethics Law: hear updates on the statute, ask questions, interact with others who may face comparable ethical situations and dilemmas, and gain new insights into advisory opinions and recent decisions of the Ohio Ethics Commission. A better grasp of this information will increase government effectiveness in the ability to comply with the Ethics Law and in accommodating the needs of their public entities.

Susan Willeke is an accomplished government - relations professional with more than 20 years’ experience in public affairs, communication and public speaking. Susan joined the Ohio Ethics Commission in 2005 as the Education and Communications Manager where she oversees and conducts educational and communication outreach. In that position, Susan presents approximately 200 speeches annually, develops information strategies regarding agency programs and represents the Ethics Commission to Ohio citizens, the media and the Ohio legislature. Prior to joining the Commission, Susan served in the communications office at the Ohio Environmental Protection Agency and as a legislative aide in the Ohio House of Representatives.
Susan is a Summa Cum Laude graduate of Ursuline College in Pepper Pike, Ohio. In 2011, she was selected to present at TEDx Columbus, a conference for “Ideas Worth Sharing” and identified as one of Central Ohio’s “Leading Thinkers and Doers.”
This course will provide a detailed case review of a recent fraud case worked by Ohio Auditor of State's Special Investigations Unit. It will include details of how the theft was discovered, carried out and investigated. The course will also include a discussion on preventative measures.
Studying theft cases is crucial in understanding the importance of internal controls in deterring future fraud.

Cara Yoder joined the Auditor of State's Office in 2015 as a Forensic Audit Manager where she conducts examinations of financial records designed to investigate allegations of fraud, theft or misappropriation of public funds. Cara has had multiple forays in government service between 2002 and 2015. She has served as Unemployment Compensation Auditor for the Ohio Department of Jobs and Family Services, Tax Commissioner Agent for the Ohio Department of Taxation and Deputy Auditor for the Wayne County Auditor's Office.
Cara has a Bachelor's Degree in Organizational Management from Tiffin University and is a Certified Fraud Examiner.
