Jane Hils Shea

Jane Shea concentrates her practice in the financial industry and the electronic payments industry. She has significant experience in the law governing data privacy and information security, financial institutions law, and the laws and industry rules governing electronic payments transactions. She has lead Frost Brown Todd's Privacy & Information Security practice area since its creation in 2001, and counsels a diverse collection of clients ranging from financial institutions with a national footprint to start-up e-businesses. She assists clients with the development of written information security programs, policies and procedures, as well as incident response measures and data breach notification. She also counsels clients in the areas of Visa and MasterCard rules and money services business & money transmitter issues. Drawing upon her significant experience in the banking industry, including over 16 years as corporate counsel for several regional banks, her clients appreciate her practical approach to solving their legal problems. Her experience makes her well-suited to handle a broad array of bank regulatory and commercial law matters, as well as business and real estate financial transactions, treasury management products and services, and the negotiation of banking and credit card processing systems agreements. She is a member of the International Association of Privacy Professionals and is a Certified Information Privacy Professional (CIPP-US).

Melissa A. Kern

Melissa practices in Frost Brown Todd's Intellectual Property Group. Her practice is focused on negotiating and drafting intellectual property agreements with an emphasis on copyright law, information technology, privacy and information security.
A partial list of agreements includes: master service, master technology, professional services, software as a service agreements (cloud), application service provider, employee confidentiality and proprietary rights, web hosting, license, development and service, reseller, referral, distribution, source code escrow, website user agreements including terms of use for websites that host user-generated content, terms and conditions of service, non-disclosure, copyright assignment, copyright policy, photo release as well as other consents and releases, photo license, privacy statements, and publishing agreements.
Her practice also involves advising clients, researching and drafting legal memoranda and opinion letters, and providing litigation support and enforcing intellectual property rights, focusing on areas of copyright, licensing, privacy, information security, information technology, publishing, entertainment, electronic contracting (including the Uniform Electronic Transactions Act (UETA) and federal E-SIGN legislation), and Internet law. Melissa regularly files copyright registration applications for her clients with the United States Copyright Office.
Melissa is particularly interested in the intersection of information technology, privacy and education. Her clients include both educational institutions as well as educational service providers. She has advised her education clients regarding adoption and use of online educational services, educational software licensing and services, and student privacy.
During the 2005-2006 school year, Melissa was a Visiting Assistant Professor of Law at the University of Cincinnati College of Law where she taught contract law, copyright law and electronic commerce law.
Prior to joining Frost Brown Todd, Melissa worked at Ernst & Young LLP in Chicago, Illinois, as part of its information technology consulting group.

Milton C. Sutton, Jr.

Milton practices in Frost Brown Todd’s Intellectual Property and Government Services Practice Groups. His practice focuses on complex information technology matters including computer systems, telecommunications, data, software development, web hosting, licensing, cloud computing, cybersecurity and privacy. He serves the private and public sector in all areas of technology and procurement including providing contract preparation, review and negotiations. His practice includes intellectual property with a focus on trademark prosecution and enforcement. Milton also has extensive experience drafting statutes and municipal ordinances including rights-of-way and wireless telecommunications facilities.
Milton is a Certified Information Privacy Professional for the U.S. private-sector. He assists entities on cyber security preparation as well as responding to large data breach incidents. He speaks regularly on cyber security issues.
Milton is also part of the firm’s Unmanned Aircraft Systems (UAS) practice. The UAS practice helps government entities and businesses integrate the use of drones into their operations. Milton’s analysis on the laws affecting drones has been featured in Columbus CEO magazine.
Before coming to FBT Milton worked for the Department of Administrative Services’ Office of Information Technology representing Ohio agencies, boards and commissions on IT contracts including data centers, hardware, software, cloud computing, statewide email, telecommunication services, statewide voice and data communication services, privacy and security, broadband services, geographical mapping of the state and digital payments.
Milton graduated from the Ohio State University Moritz College of Law with his Juris Doctorate. He earned his Bachelor of Science in Computer Information Systems from the Kelley School of Business at Indiana University.

Kelly Berger-Davis is a Quality Assurance and Technical Specialist in the Center for Audit Excellence Division of the Ohio Auditor of State’s Office. She has held various other positions as well in her 17 years with the Auditor’s office, ranging from intern to Senior Audit Manager in the West Regional Office. Kelly’s areas of specialty include federal grants and community schools.

Kelly has a Bachelor of Science in Accounting from the Bowling Green State University, and was a lead adopter of the AICPA’s Advanced Single Audit Certificate. She is an active member of the Central Ohio Chapter of the Association of Government Accountants (AGA), serving as current President, past Education Chair, as well as sitting on the Executive Board and National Board of Directors. Kelly also serves on the single audit and training committees for the National State Auditors Association (NSAA), and has represented the Ohio Auditor’s Office at several Single Audit Roundtable meetings.

Sharif Abdalla

Sharif Abdalla is a CPA and Assistant Auditor with the Ohio Auditor of State’s Office. He has a Master’s degree from Franklin University and has been with the State Auditor’s Office since 2012. He currently covers the central region area.

Nicole Edwards joined her brother, Brian Edwards, at Morgan Stanley and its predecessor firms in January, 1999. Her primary responsibilities currently include operational and financial planning oversight, fixed income strategies for clients, and client communication. Nicole’s additional focus on manager research, asset allocation, and portfolio design occurred as a natural outgrowth of her analytical personality. She currently has the distinction of being a Senior Investment Management Consultant/Financial Advisor and a Financial Planning Specialist. Prior to coming to Morgan Stanley, Nicole spent 14 years at United Parcel Service (UPS) in a variety of operational and managerial positions. She received her BA from University of Tampa in English and her MA degree from Vanderbilt University in American Literature.
